Key Responsibilities:
• Provide timely and strategic legal advice and support to the different business units and departments of the organization, including Finance, Supply Chain, Sales, IT, HR, R&D and Marketing
• Work in partnership with Corporate Development to diligence M&A targets; serve as internal point-of-contact for outside transaction counsel.
• Draft, review and negotiate contracts, agreements, and other legal documents, such as NDAs, distribution agreements, supply and manufacturing agreements, sale and purchase agreements, licensing agreements and service agreements.
• Monitor legal risks and advise on mitigating strategies.
• Conduct special research on legal issues and legal prevention related to the business and issue legal memoranda.
• Ensure the organization’s compliance with local laws, regulations and industry standards in the various jurisdictions wherein it operates.
• Develop and implement compliance policies and procedures.
• Conduct regular compliance audits and provide training to employees.
• Oversee intellectual property matters, including trademarks, patents, designs, copyrights, and coordinate with external counsel for IP litigation and dispute resolution.
• Manage brand protection strategies and enforce anti-piracy measures.
• Liaise with external legal counsels, auditors, and other stakeholders to ensure smooth legal operations.
• Represent the organization in legal matters with external parties such as external counsels, auditors, company secretaries and other consultants.
• Attend and prepare minutes of board of directors’ and shareholders’ meetings.
• Handle and develop appropriate approaches to dispute resolution, litigation and arbitration matters of the organization establish and manage legal best practices within the organization, such as records management, education of employees on legal matters, etc.
• Keep the executive leadership informed of new or changing laws that may affect or relate to their operations and industry.
Qualifications and Skills:
• Law degree (Bachelor of Laws or Juris Doctor) from a reputable law school; a Master of Laws (LLM) degree is a plus
• Legal qualification/license to practice in Singapore or China..
• At least 10 years of post-admission experience in a reputable law firm and/or in-house legal department of MNC
• Knowledgeable in legal compliance and IP matters, with specific experience in providing legal support to factories, manufacturing, supply, distribution and trading
• Broad working knowledge of a wide range of legal and compliance topics, including, but not limited to, general corporate and commercial law issues, litigation, contract drafting and risk management
• Excellent interpersonal, written and oral communication and negotiation skills
• Detail-oriented with the ability to handle multiple tasks simultaneously
• Proficient in English and Chinese
• Accept frequent travel
